ACCEPTABLE USE OF SERVICES POLICY
This Acceptable Use of Services Policy (“Policy”) sets out a list of acceptable and unacceptable conduct for our Services. This Policy applies to all access or use by a customer, enterprise user, agency, developer, redistributor, or other authorized user of any Glui Inc. (“Glui”) products, services, data, advertisements, APIs, platforms, infrastructure, or applications (collectively, the “Services”), to the extent incorporated into your agreement with Glui or any applicable terms of use. This Policy applies to you, and anyone You enable to access, view, or host the Services, including end users as well as any permitted sublicenses (if any), subcontractors, and agents (collectively referred to in this Policy as “You”). If we believe a violation of the policy is deliberate, repeated or presents a credible risk of harm to other users, other consumers, the Services or any third parties, we may suspend or terminate Your access. This policy may change as Glui grows and evolves, so please check back regularly for updates and changes.
Do:

Comply with all user Terms and Policies applicable to Your use of the Services, including the terms of this Policy and any agreement between You and Glui;

Comply with all applicable laws and governmental regulations, including, but not limited to, all intellectual property, data, privacy, and export control laws, and regulations promulgated by any government agencies;

Use commercially reasonable efforts to prevent unauthorized access to or use of the Services;

Keep passwords and all other login information confidential;

Monitor and control all activities conducted through Your account in connection with the Services;

Promptly notify us if You become aware of or reasonably suspect any illegal or unauthorized activity or a security breach involving Your accounts or teams, including any loss, theft, or unauthorized disclosure or use of a username, password, or account; and

Comply in all respects with all applicable terms of the third-party applications, including any that Customer elects to integrate with the Services that You access or subscribe to in connection with the Services.
Do Not:

Permit any Third Party that is not an authorized user to access or use a username or password for the Services;

Share, transfer or otherwise provide access to an account designated for You to another person;

Use the Services to store or transmit any customer data that may infringe upon or misappropriate someone else's trademark, copyright, or other intellectual property, or that may be tortious or unlawful;

Upload to, or transmit from, the Services any data, file, software, or link that contains or redirects to a virus, Trojan horse, worm, or other harmful component or a technology that unlawfully accesses or downloads content or information stored within the Services or on the hardware of Glui or any third-party;

Attempt to reverse engineer, decompile, hack, disable, interfere with, disassemble, modify, copy, translate, or disrupt the features, functionality, integrity, or performance of the Services (including any mechanism used to restrict or control the functionality of the Services), any third-party use of the Services, or any third-party data contained therein (except to the extent such restrictions are prohibited by applicable law);

Attempt to gain unauthorized access to the Services or related systems or networks or to defeat, avoid, bypass, remove, deactivate, or otherwise circumvent any software protection or monitoring mechanisms of the Services;

Access the Services in order to build a similar or competitive product or service or copy any ideas, features, functions, or graphics of the Services;

Use the Services in any manner that may harm minors or that interacts with or targets people under the age of thirteen;

Engage in activity that incites or encourages violence or hatred against individuals or groups;

Impersonate any person or entity, including, but not limited to, an employee of ours, or any other authorized user, or falsely state or otherwise misrepresent Your affiliation with a person, organization or entity;

Use the Services to provide material support or resources (or to conceal or disguise the nature, location, source, or ownership of material support or resources) to any organization(s) designated by the United States government as a foreign terrorist organization pursuant to section 219 of the Immigration and Nationality Act or other laws and regulations concerning national security, defense or terrorism;

Access, search, or create accounts for the Services by any means other than our publicly supported interfaces (for example, "scraping" or creating accounts in bulk);

Send unsolicited communications, promotions or advertisements, or spam;

Send altered, deceptive or false source-identifying information, including "spoofing" or "phishing";

Sublicense, resell, time share or similarly exploit the Services;
-
Use the Services for consumer purposes, as Glui’s services are intended for use by businesses and organizations;

Use contact or other user information obtained from the Services (including email addresses) to contact authorized users outside of the Services without their express permission or authority or to create or distribute mailing lists or other collections of contact or user profile information for authorized users for use outside of the Services; or
-
Repurpose any demonstration, evaluation, or beta program credentials for any commercial use case;

Omit, remove, or obscure, or otherwise fail to display, branding and/or copyright information affixed by Glui;

Fail to promptly integrate the latest generally available commercial version of the applicable Service;

Degrade or diminish the perceived quality of the Services, whether by act or omission;

Use the Services to provide information on content You know to be false or misleading;

Integrate any Services with any other material and/or services that may subject the Services to any “share-alike” concepts, such as open source software, open database or data licenses (including ODBL, CDLA or otherwise), where Glui’s licensing or distribution of the Services (or any rights therein) would be restricted or conditioned in any way;

Copy the look and feel of any Services;

Use the Services in violation of applicable law; or
-
Authorize, permit, enable, induce or encourage any third-party to do any of the above.

Monitoring and Remedial Action:
Glui may directly or through third parties investigate any suspected violation of this Policy or misuse of any Services. Glui may, if it develops a reasonable suspicion of any violation of this Policy, without limiting other available remedies and without liability:

Cooperate with appropriate law enforcement agencies, regulators, or other appropriate third parties to help with investigation and prosecution of illegal or harmful conduct by providing network and systems information related to suspected violations of this Policy;

Take remedial action if the Policy is violated, such as limiting, removing or disabling access to any or all Services, or terminating contract(s);

Commence legal proceedings in any jurisdiction for reimbursement of all losses and costs, including, but not limited to, reasonable legal costs resulting from such violations;

Report any activity that Glui believes, in good faith, violates any law or regulation to appropriate law enforcement officials, regulators, or other appropriate third parties. Reporting may include disclosure of information that identifies You, Your agents, representatives, and/or employees.
Attribution and Supplier Terms:
You are obliged to review and pass through to Your end users all notices or disclosures required or suggested by Glui.
Reporting Violations:
If You become aware of any violation of this Policy, You will immediately notify Glui and provide reasonable assistance, as requested, to stop and/or mitigate the violation. To report any violation of this Policy, please email legal@glui.io.
Updates:
We reserve the right to modify this Policy. We will notify You by making the revised version available on this page, and an updated revision date will indicate that changes have been made. Your continued use of the Services after we publish changes means that You are consenting to the updates. We also reserve the right to modify or discontinue any or all of the Services at any time, for any or no reason, with or without notice.
